These Terms & Conditions (“T&C”) govern the use and participation in the DhuMall Privilege Corporate Client Membership (“Membership”). By signing up for the Membership, you (“Member”) agree to comply with the following terms:

1. Membership Eligibility

1.1 The Membership is open to businesses of all sizes, including startups, SMEs, and corporations.
1.2 Individual applicants must be at least 18 years old and authorized to represent their company.
1.3 The person signing up for the Membership on behalf of a company warrants that they have the full authority and approval of the company to enter into this Membership agreement.

2. Membership Package & Duration

2.1 The Membership is a one-year package valid from the date of successful payment and confirmation.
2.2 Membership is non-transferable and non-refundable once payment has been made.
2.3 No partial utilization or refund. Membership benefits are offered as a full package and cannot be split, reduced, or refunded in part.
2.4 Renewal is required to maintain access to benefits after expiry.

3. Membership Benefits

3.1 Members are entitled to the benefits as stated on the official landing page, including but not limited to:

• • Discounts of 5% – 50% on eligible business services and solutions.
  • Complimentary advertisements and publications.
  • Complimentary event tickets and networking memberships.
  • Award nomination, e-commerce & sourcing tools, and referrals.

3.2 Benefits offered may vary by region, availability, or third-party participation, and DhuMall reserves the right to modify or substitute any benefit without prior notice.
3.3 The stated monetary values of benefits are estimates and provided for reference purposes only.

4. Publications & Advertisements

4.1 Complimentary advertisements are subject to DhuMall’s editorial guidelines and approval.
4.2 Members are responsible for providing accurate and lawful advertising content.

5. Events & Tickets

5.1 Complimentary event tickets are limited to the specified number provided under the Membership package.
5.2 Event format (physical, virtual, or recorded) is determined solely by DhuMall.

6. Referrals

6.1 Referrals (business, investment, or customer) are provided as opportunities and are not guaranteed sales, contracts, or revenue.
6.2 DhuMall does not guarantee success, conversion, or profitability from any referrals.

7. Use of e-Commerce & Networking Tools

7.1 Access to Vendor Accounts, iGlobalSourcing, and iHotBiz is subject to the platforms’ Terms of Service.
7.2 Members must comply with all applicable rules and guidelines when using these platforms.

8. Fees & Payments

8.1 The Membership fee is payable in full at the time of registration.
8.2 All fees are exclusive of applicable taxes, which will be charged as required by law.
8.3 Payments are non-refundable under any circumstances.

9. Termination of Membership

9.1 DhuMall reserves the right to suspend or terminate Membership without refund if:

• • The Member breaches the Terms and Conditions herein.
  • The Member engages in unlawful, unethical, or fraudulent activities.
  • Misuse of benefits or platforms is detected.

10. Limitation of Liability

10.1 DhuMall shall not be held liable for any indirect, incidental, or consequential losses arising from the Membership or use of benefits.
10.2 Members acknowledge that all opportunities, referrals, and benefits are provided on a best-effort basis and success depends on the Member’s own business performance.
10.3 DhuMall’s ability to deliver certain Membership benefits (including but not limited to advertisements, publications, award nominations, or referrals) depends on the Member providing accurate, complete, and timely information as required. Failure by the Member to cooperate or supply such information shall release DhuMall from any obligation or liability to provide the related benefit, without refund.

11. Amendments

11.1 DhuMall reserves the right to amend the Terms and Conditions herein or modify the Membership benefits at any time without prior notice.
11.2 Updated Terms and Conditions will be posted on the official DhuMall website and shall take effect immediately.

12. Governing Law

12.1 The Terms and Conditions herein shall be governed by and construed under the laws of Malaysia.
12.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Malaysia.

13. Confidentiality

13.1 Members may gain access to confidential or proprietary information, including but not limited to referrals, business opportunities, investment leads, customer data, networking platforms, and internal publications (“Confidential Information”).
13.2 Members agree to keep such information strictly confidential and not to disclose, share, sell, or otherwise misuse the information without prior written consent from DhuMall.
13.3 This obligation of confidentiality does not apply to information that:

• • Is already in the public domain through no fault of the Member.
  • Was lawfully received from a third party without restrictions.
  • Is required to be disclosed under applicable law or regulation.

13.4 Any breach of this confidentiality clause may result in immediate termination of Membership without refund, and DhuMall reserves the right to seek legal remedies.

14. Force Majeure

14.1 DhuMall shall not be held liable or responsible for any failure or delay in performing its obligations under this Membership where such failure or delay results from events beyond its reasonable control, including but not limited to:

• • Acts of God (e.g., floods, earthquakes, storms, natural disasters).
  • Pandemics, epidemics, or public health emergencies.
  • Wars, conflicts, terrorism, or civil disturbances.
  • Government actions, restrictions, or regulations.
  • Power failures, internet or communication breakdowns, or other technical disruptions.

14.2 In such circumstances, DhuMall may suspend, postpone, or modify the affected benefits or services without liability, provided that reasonable efforts will be made to resume normal operations as soon as practicable.

By registering for the DhuMall Privilege Corporate Client Membership, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
