1. Introduction

Welcome to DhuMall Newsletter Spotlight, a marketing and advertising platform operated by DhuMall (“DhuMall”, “we”, “our”, “us”).

By purchasing, submitting, or participating in any advertising or promotional content within The Opportunities and Public Company Opportunities newsletters (collectively, the “Newsletters”), you (“Advertiser”, “Client”, or “you”) agree to comply with and be bound by these Terms and Conditions (“Terms”).

These Terms govern all advertising placements, sponsorships, and related services provided through the DhuMall Newsletter Spotlight program.

2. Definitions

For clarity, the following terms apply:

• • “Advertisement” or “Ad” means any content submitted by the Advertiser for publication, including but not limited to banner ads, company profiles, sponsored articles, or promotional content.
  • “Publication Period” means the duration during which the advertisement is scheduled to appear in one or more newsletter issues.
  • “Issue” means each digital edition of The Opportunities or Public Company Opportunities.
  • “Services” means the design, placement, distribution, and related advertising activities provided by DhuMall.

3. Eligibility

• • Advertising placements are open to legitimate businesses, organizations, and public companies.
  • DhuMall reserves the right to reject, remove, or request modification of any advertisement or advertiser that, in its sole discretion, does not align with our standards, laws, or community guidelines.

4. Advertising Packages & Fees

• • All advertising fees and packages are as listed on the DhuMall Newsletter Spotlight rate card or official proposal at the time of booking.
  • Prices are quoted in USD and exclusive of applicable taxes, unless stated otherwise.
  • Payment must be made in full prior to publication, unless otherwise agreed in writing.
  • Multi-month or annual packages must be paid upfront.
  • DhuMall reserves the right to revise pricing and package inclusions at any time, but such changes will not affect confirmed bookings already paid for.

5. Payment Terms

• • Payment is due within seven (7) calendar days of invoice issuance unless otherwise stated.
  • Failure to pay by the due date may result in suspension or cancellation of the booking.
  • Accepted payment methods include bank transfer, credit card, or other approved methods.
  • All fees are non-refundable, except as outlined in Section 10 (Cancellations and Refunds).

6. Recurring Subscription & Cancellation

• • The Newsletter Spotlight is offered on a monthly subscription basis.
  • After the initial month, your subscription will automatically renewfor subsequent months at the same package level, unless you cancel prior to the renewal date.
  • You may cancel your subscription at any time. Cancellation requests must be submitted via email to enquiries@dhumall.comor through the designated client portal.
  • Upon cancellation, your subscription will remain active until the end of the current billing cycle; no further charges will be applied.
  • Refunds are not provided for partial monthsalready billed.
  • DhuMall reserves the right to adjust subscription fees for future periods; any changes will be communicated at least 30 days in advance.

7. Content Submission & Approval

• • Advertisers are responsible for providing final creative materials (e.g., images, banners, logos, text) in the required format and resolution before the submission deadline.
  • DhuMall may provide optional creative and design support for an additional fee.
  • All materials are subject to editorial review and approval by DhuMall.
  • DhuMall reserves the right to edit or refuse any content deemed misleading, offensive, or non-compliant with legal or ethical standards.
  • The Advertiser guarantees that submitted materials do not infringe on any third-party rights, including trademarks, copyrights, or intellectual property.

8. Publication & Placement

• • Advertisement placement and sequence within the newsletters will be determined by DhuMall, unless otherwise specified in a Premium or Exclusive Sponsor package.
  • While DhuMall strives to meet all scheduled publication dates, it does not guarantee specific dates or positions unless confirmed in writing.
  • DhuMall shall not be liable for delays, omissions, or technical issues beyond its control.

9. Advertiser Obligations

The Advertiser agrees to:

• • Provide accurate, lawful, and non-deceptive content.
  • Comply with all applicable advertising, trade, and data protection laws.
  • Obtain necessary licenses or permissions for logos, trademarks, and claims used in their advertisements.
  • Indemnify and hold harmless DhuMall, its affiliates, and partners from any losses, damages, or claims arising from the Advertiser’s content or conduct.

10. Cancellations, Modifications, and Refunds

• • Cancellations must be made in writing at least 14 days before the scheduled publication date.
  • Fees paid are strictly non-refundable.
  • Rescheduling of Ads is subject to availability and administrative fees.
  • If DhuMall fails to publish an Ad due to an internal error, a make-good insertion (re-run in a future issue) will be offered as full compensation.

11. Performance and Results Disclaimer

• • While DhuMall provides access to a global audience of over 4 million business users, it does not guarantee specific results, such as click-through rates, lead volume, or conversions.
  • Advertisers acknowledge that results may vary depending on market conditions, content quality, and target audience relevance.

12. Intellectual Property

• • All intellectual property rights in the newsletters, including layout, design, and branding, remain the exclusive property of DhuMall.
  • The Advertiser retains ownership of its submitted creative content but grants DhuMall a royalty-free, non-exclusive, worldwide license to display, reproduce, and distribute the content as part of the advertising campaign.
  • DhuMall may use published advertisements for promotional or portfolio purposes, unless explicitly prohibited in writing.

13. Confidentiality

Both parties agree to treat all non-public business information, pricing, or campaign details as confidential and not disclose such information to third parties without prior written consent, except as required by law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, DhuMall, its affiliates, directors, officers, employees, and agents shall not, under any circumstances, be liable for any loss, damage, cost, or expense of any kind, whether direct, indirect, incidental, consequential, exemplary, or punitive, including (without limitation) loss of business, revenue, profits, data, goodwill, or anticipated savings, arising out of or in connection with:

• • The publication, distribution, delay, omission, or non-appearance of any advertisement or content;
  • Any technical error, system failure, delay, or interruption in the operation or delivery of the newsletters;
  • Any inaccuracies, errors, or misrepresentations in content provided by the Advertiser;
  • Any reliance placed by the Advertiser or third parties on the Services or the performance thereof; or
  • Any event or circumstance beyond DhuMall’s reasonable control.

DhuMall shall have no obligation to provide compensation, refund, credit, or replacement for any such loss or damage, except where required by law.

Under no circumstance shall DhuMall’s total cumulative liability, whether in contract, tort (including negligence), or otherwise, exceed the total amount actually paid by the Advertiser for the specific advertisement placement in question.

The Advertiser acknowledges and agrees that this limitation of liability is a fundamental condition of the agreement and that DhuMall would not provide advertising services without such limitation.

15. Indemnification

The Advertiser hereby agrees to indemnify, defend, and hold harmless DhuMall, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, partners, and representatives (collectively, “Indemnified Parties”) from and against any and all losses, damages, liabilities, penalties, claims, demands, actions, proceedings, judgments, settlements, costs, and expenses (including reasonable legal fees and court costs) arising directly or indirectly from or in connection with:

1. • Any advertisement, content, or material provided or approved by the Advertiser, including but not limited to claims of defamation, misrepresentation, intellectual property infringement, false advertising, violation of privacy, or breach of confidentiality;
   • Any breach or alleged breach of these Terms and Conditions by the Advertiser or its representatives;
   • Any violation of applicable laws, regulations, or industry standards relating to the Advertiser’s business, products, or marketing claims;
   • Any third-party claim or dispute arising from the publication, distribution, or use of the Advertiser’s materials in the newsletters or associated channels; and
   • Any negligent or wrongful act or omission by the Advertiser, its employees, contractors, or agents.

The Advertiser shall assume full responsibility for the defense of any such claims and shall not settle any matter affecting DhuMall’s interests without DhuMall’s prior written consent.
DhuMall reserves the right, at its sole discretion and expense, to participate in or assume control of the defense and settlement of any matter subject to indemnification.

This indemnification obligation shall survive termination or expiration of these Terms and Conditions and remain in full force thereafter.

16. Force Majeure

DhuMall shall not be held responsible for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, internet outages, war, strikes, government actions, or pandemics.

17. Amendments

DhuMall reserves the right to modify these Terms at any time. Updated versions will be posted on the DhuMall website. Continued use of the Services after updates constitutes acceptance of the revised Terms.

18. Governing Law and Jurisdiction

• • These Terms shall be governed by and construed in accordance with the Laws of Malaysia.
  • Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Malaysia.

19. Acknowledgement and Acceptance

By making a payment for the DhuMall Newsletter Spotlight, the Client acknowledges that they have read, understood, and fully accepted all the terms and conditions contained in this Agreement.
