Terms & Conditions of the DhuMall International Entrepreneur Incubator Program

  1. Program Overview
    • The DhuMall International Entrepreneur Incubator Program (DIEIP) is a 12-month business development initiative organized by DhuMall Sdn. Bhd. (“Company”). The Program is designed to equip selected participants (“Affiliates”) with training, mentorship, and access to global business tools and networks to help them grow sustainable ventures across more than 200 countries and territories.
    • Each Affiliate will automatically become a DhuMall Affiliate and receive one (1) DhuMall Privilege Corporate Client Membership (DPCCM) as part of the Program’s initial support.
    • Additional Program benefits, with a total indicative value of up to USD9,800 in financial support (cash), tools, training, and mentorship opportunities may be provided during the 12 months at the Company’s discretion and subject to conditions set by the Company. These benefits cannot be exchanged for cash immediately.
    • The Program aims to empower Affiliates to develop sustainable business income streams. However, the Company does not guarantee financial success or earnings, as outcomes depend on each Affiliate’s effort, performance, and market conditions.

  1. Program Benefits

Affiliates accepted into the DIEIP are entitled to the following benefits:

    • One (1) DhuMall Privilege Corporate Client Membership (DPCCM) package, included as part of the Program.
    • Facilitated access to business opportunities across more than 200 countries and territories, subject to availability and local regulations.
    • Mentorship and business guidance from experienced international entrepreneurs engaged by the Company.
    • Training programs conducted virtually or in person, as determined by the Company.
    • Access to global incubator resources, tools, and networks made available under the Program.
    • The opportunity to build long-term business income through participation in approved sales and development activities, subject to performance and market factors.
    • All Program benefits are non-transferable, non-exchangeable, and non-redeemable for cash.

 

  1. Eligibility

Applicants must:

    • Be at least 18 years old at the time of application.
    • Complete the DIEIP Application Form truthfully and accurately.
    • Not be an undischarged bankrupt, of unsound mind, or under active legal proceedings.
    • Be willing to attend all required training and mentorship sessions.
    • Commit to reselling the DPCCM package in accordance with Company guidelines.

All applications are subject to review and approval by the Company. Acceptance is limited and competitive. The Company reserves the right to reject any application without providing reasons.

 

  1. Affiliate’s Responsibilities

Affiliates under the DIEIP agree to:

    • Represent the Company professionally, ethically, and lawfully at all times.
    • Attend and actively participate in all required training and mentorship sessions.
    • Promote and resell the DPCCM package within the pricing and guidelines set by the Company.
    • Provide accurate and non-misleading information about the Program and related products.
    • Safeguard all confidential and proprietary information belonging to the Company.
    • Refrain from misrepresentation, fraudulent activity, or unauthorized commitments in the Company’s name.
    • Submit sales reports and updates in the format and frequency prescribed by the Company.
    • Comply with all applicable laws and regulations in their jurisdiction.
    • Avoid making any income or earnings claims when promoting the Program or DPCCM package.

 

  1. Commission & Payments
    • Affiliates will receive commissions on eligible sales according to the Company’s prevailing commission structure.
    • Commissions are calculated and paid in the manner, frequency, and currency determined by the Company.
    • The Company reserves the right to withhold or adjust commissions in cases of suspected fraud, breach, or pending verification.

 

  1. Confidentiality & Intellectual Property
    • All information, materials, and tools provided under the Program are confidential and remain the exclusive property of the Company.
    • Affiliates are granted a limited, non-transferable license to use approved materials solely for promoting the DPCCM package and the DIEIP.
    • All licenses automatically terminate upon expiry or termination of participation.

 

  1. Independent Contractor Status
    • Affiliates are independent contractors, not employees, partners, or representatives of the Company.
    • Affiliates are responsible for their own taxes and compliance obligations.
    • Affiliates have no authority to bind or obligate the Company in any manner.

 

  1. Term & Termination
    • Participation in the DIEIP is valid for 12 months from the date of activation, unless earlier terminated.
    • Either party may terminate participation with 30 days’ written notice.
    • The Company may terminate immediately if the Affiliate:
      • Fails to attend required training sessions;
      • Fails to resell the DPCCM package within the prescribed timeframe;
      • Engages in fraudulent, unlawful, or unethical behavior; or
      • Breaches any of these Terms & Conditions.

No refund or replacement of unused benefits shall be provided upon termination. Upon termination, the Affiliate must cease representing the Company and return all proprietary materials.

 

  1. Disclaimer
    • Participation in the DIEIP does not guarantee income or business success.
    • Earnings depend on each Affiliate’s performance, effort, and prevailing market factors.
    • All stated benefit values are approximate and subject to change.
    • The Company shall not be liable for losses, damages, or claims arising from participation.
    • No warranty, express or implied, is given regarding specific outcomes, profitability, or suitability.

 

  1. Governing Law & Dispute Resolution
    • This Agreement shall be governed by the laws of Malaysia.
    • Disputes shall first be addressed through good-faith negotiation.
    • If unresolved, disputes shall be referred to mediation or arbitration in Malaysia, whose decision shall be final and binding.

 

  1. Miscellaneous
    • Amendments: The Company reserves the right to amend these Terms & Conditions at any time. Continued participation constitutes acceptance of revisions.
    • Entire Agreement: This document represents the full and binding agreement between the Company and the Affiliates.
    • Force Majeure: Neither party shall be liable for delays or failures due to events beyond reasonable control.
    • Severability: If any clause is deemed invalid, the remaining provisions remain in force.
    • Notices: Communications shall be sent to the contact details provided by the Affiliate or as updated in writing.
    • Waiver: Failure by the Company to enforce any clause does not constitute a waiver of rights.

 

By registering for and participating in the DhuMall International Entrepreneur Incubator Program (DIEIP), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions, as amended from time to time by the Company.
